Mango9 Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Mango9, Inc. (“Mango9,” “we,” “us,” or “our”) and the person or organization accessing or using the Services (“you,” “your,” “Customer,” or “User”).
These Terms govern access to Mango9’s hosted communications, CRM, provisioning, messaging, website, mobile application services, and related support services. Open-source software included in the Mango9 mobile application is licensed separately under the applicable open-source licenses described in Section 12.
By creating an Account, accepting an invitation to a Mango9 Account, downloading or using the Mango9 mobile application, or accessing the Services, you acknowledge that you have read and agree to these Terms.
If you use the Services for an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.
If you do not agree to these Terms, do not access or use the Services.
1. Definitions
For purposes of these Terms:

Account means an authorized Mango9 business, customer, agent, administrator, or user account.

Application means the Mango9 mobile application and related client software.
-
Customer Data means information submitted to, stored in, transmitted through, or generated through a Customer’s use of the Services.
-
Communications Data means calls, call metadata, telephone numbers, SMS or MMS messages, team-chat messages, attachments, recordings, presence information, and related communications records.
-
Customer Content means messages, files, recordings, contact information, CRM records, and other content submitted or transmitted through the Services.
-
Open-Source Software means software distributed under an open-source or free-software license, including the GNU General Public License and GNU Affero General Public License.
-
Services means Mango9’s hosted communications, CRM, provisioning, messaging, mobile application integration, telephone, API, website, and support services.
2. Business Purpose and Intended Users
The Mango9 mobile application is designed and made available primarily as a companion application for Mango9 business communications and customer-relationship-management services.
The intended users of the Application are Mango9 customers and their authorized owners, administrators, employees, agents, contractors, and representatives.
The Application enables an authorized Mango9 business user to connect to the telephone extension, telephone number, CRM account, messaging services, contacts, leads, clients, and other business resources assigned to that user by the applicable Customer.
The Application may be downloaded without a separate charge. However, availability of the Application without a download charge does not provide or create a Mango9 Account and does not grant access to Mango9’s hosted services, Customer Data, SIP credentials, telephone numbers, extensions, messaging services, carrier services, or technical support.
Operational use of the Mango9 Services requires:

a valid Mango9 business Account;
-
authorization from the Customer that controls the Account;
-
valid provisioning and authentication credentials;
-
an assigned telephone extension or other applicable service configuration; and
-
an active service relationship between Mango9 and the applicable Customer.
Mango9 may deny or discontinue access to its hosted Services when a person does not have a valid, authorized Mango9 business Account.
Nothing in this Section requires Mango9 to provide hosted services, credentials, telephone numbers, CRM access, carrier connectivity, or customer support to a person merely because that person possesses a copy of the Application’s software or source code.
2.1 Separation of software rights and service access
The business-purpose and Account requirements described above apply to Mango9’s hosted Services and do not restrict rights granted under an applicable open-source software license.
A recipient may run, study, copy, modify, and redistribute GPL- or AGPL-covered software in accordance with the applicable open-source license, whether or not that recipient is a Mango9 customer.
However, possession, modification, or redistribution of the software does not grant any right to:
-
access Mango9’s hosted infrastructure or Customer Data;
-
receive a Mango9 Account, SIP credentials, telephone number, extension, or provisioning token;
-
use Mango9 telecommunications or CRM services without authorization;
-
use Mango9 trademarks, logos, trade dress, or service names except as permitted by law;
-
represent a modified application as an official Mango9 application; or
-
imply that Mango9 sponsors, supports, certifies, or endorses an independently modified or redistributed version.
Access to Mango9’s hosted Services remains subject to these Terms, the applicable Customer agreement, Account authorization, service availability, and any applicable charges.
3. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a business or other organization, you represent and warrant that:

you have authority to bind that organization;
-
the organization accepts these Terms;
-
your use is for authorized business purposes; and
-
all information you provide is accurate and current.
The Mango9 mobile application is a companion to an existing Mango9 business account. The Application does not ordinarily create a new Mango9 business account. Access may be provided by a Customer administrator.
4. Accounts, Credentials, and Provisioning
4.1 Account security
You are responsible for:
-
maintaining the confidentiality of your username, password, session tokens, SIP credentials, and other authentication information;
-
maintaining control of devices connected to your Account;
-
using reasonable security protections, including a device passcode where available;
-
promptly updating inaccurate Account information; and
-
all activity performed through your Account, except activity resulting directly from Mango9’s breach of these Terms or applicable law.
You must notify Mango9 promptly if you suspect unauthorized access, compromised credentials, or misuse of your Account.
4.2 Customer administrators
If your Account is controlled by a business or organization, its administrators may:
-
provision or remove your access;
-
assign telephone numbers or extensions;
-
configure call-routing and communications settings;
-
access or manage Customer Data as permitted by the organization;
-
establish retention policies; and
-
suspend or terminate your Account.
Questions concerning access to an organization-controlled Account should first be directed to that organization’s administrator.
4.3 Provisioning
The Application may use CRM credentials, provisioning tokens, QR codes, device identifiers, push-notification tokens, SIP credentials, and related configuration information to locate and connect your Account to the appropriate Mango9 CRM, provisioning service, proxy, and telephone system.
You may not use another person’s credentials or provisioning information without authorization.
4.4 Remembered sessions
If you select a feature that remembers your login, the Application may store session or refresh tokens using secure storage provided by the operating system.
Signing out removes the local Mango9 session but does not delete the underlying business Account or server-side records.
5. Communications Services
5.1 Internet-based communications
Mango9 communications use internet, cellular-data, carrier, SIP, PBX, and third-party telecommunications services.
Call and message quality may depend on factors outside Mango9’s control, including:
-
network availability;
-
device condition;
-
firewall configuration;
-
carrier availability;
-
internet congestion;
-
power interruptions; and
-
third-party service failures.
Mango9 does not guarantee that every call, message, notification, or attachment will be delivered without interruption or delay.
Your wireless or internet provider may charge data, voice, roaming, or other fees. You are responsible for complying with your provider’s applicable terms.
5.2 Emergency calling
Do not assume that emergency calling is available through the Application.
Emergency-calling capability may depend on the Customer’s telephone configuration, assigned number, registered service address, PBX configuration, carrier, network availability, and jurisdiction.
You must confirm with your Customer administrator whether emergency calling is enabled for your Account. You should maintain an alternative means of contacting emergency services, including a mobile or landline telephone.
5.3 Telephone numbers and caller identification
Telephone numbers, extensions, caller-identification information, routing rules, and related services may be assigned, modified, suspended, reclaimed, or ported according to Customer instructions, carrier rules, regulatory requirements, and applicable law.
You may not alter or transmit misleading caller-identification information or impersonate another person or organization.
5.4 Call recording
The Services may permit authorized users to record calls or voice messages. Recording laws vary by jurisdiction.
You are responsible for:
-
determining whether recording is permitted;
-
providing any required notice;
-
obtaining all required consent; and
-
complying with applicable recording, interception, privacy, and employment laws.
Mango9 does not provide legal advice concerning whether a particular call may be recorded.
6. CRM and Business Data
The Services may provide access to leads, clients, contacts, notes, custom fields, communications history, assigned agents, Account records, and other business information.
You may access and use CRM information only:
-
for authorized business purposes;
-
within the scope permitted by the Customer that controls the Account;
-
in compliance with applicable privacy and consumer-protection laws; and
-
in accordance with the Customer’s policies.
You may not export, disclose, scrape, copy, or use Customer Data for an unauthorized purpose.
Customers are responsible for determining what information their users may access and for configuring suitable permissions and retention policies.
7. Messaging, Team Chat, and Customer Content
7.1 Responsibility for content
You are responsible for Customer Content that you create, upload, transmit, record, receive, or share through the Services.
You represent that you have the rights, permissions, and lawful basis necessary to use and transmit that content.
7.2 Operational license
You retain ownership of your Customer Content.
You grant Mango9 and its service providers a limited, non-exclusive license to host, store, reproduce, transmit, process, format, and display Customer Content only as reasonably necessary to:

provide the Services;
-
deliver calls and messages;
-
synchronize CRM information;
-
maintain security and reliability;
-
provide technical support;
-
comply with Customer instructions; and
-
comply with applicable law.
This operational license does not transfer ownership of Customer Content to Mango9.
7.3 Prohibited content
You may not use the Services to create, upload, transmit, or distribute content that:
-
is unlawful, fraudulent, defamatory, threatening, harassing, or abusive;
-
promotes violence, exploitation, or illegal activity;
-
violates another person’s intellectual-property, privacy, publicity, or contractual rights;
-
contains malware or harmful code;
-
constitutes unlawful spam or deceptive solicitation;
-
impersonates another person or organization;
-
facilitates unauthorized surveillance or interception; or
-
is otherwise prohibited by applicable law.
7.4 Reporting and enforcement
Users may report suspected abuse, unlawful content, harassment, or misuse using any reporting mechanism provided in the Application or by contacting support@mango9.com.
Mango9 may investigate reports and, when reasonably necessary:
-
remove or restrict content;
-
block communications;
-
suspend users;
-
preserve relevant records; or
-
cooperate with lawful authorities.
Mango9 may take action without prior notice when immediate action is reasonably necessary to protect users, the Services, third parties, or the public.
8. Acceptable Use
You agree not to:
-
access or use the Services for an unlawful or unauthorized purpose;
-
send communications without any consent required by applicable law;
-
conduct illegal robocalling, spoofing, phishing, or messaging activity;
-
send unsolicited bulk communications or spam;
-
violate telemarketing, consumer-protection, telecommunications, or messaging-registration requirements;
-
attempt to gain unauthorized access to another Account, Customer, system, or network;
-
disrupt, overload, damage, or interfere with the Services;
-
bypass rate limits, authentication controls, security protections, or usage restrictions;
-
introduce malware, spyware, ransomware, or destructive code;
-
use automated tools to scrape or extract information without authorization;
-
use the Services to infringe intellectual-property or privacy rights;
-
resell or sublicense proprietary hosted Services unless permitted by a separate written agreement; or
-
reverse-engineer a proprietary component of the Services, except to the extent expressly permitted by applicable law or an applicable open-source license.
Nothing in this Section restricts rights granted under an applicable open-source license.
Mango9 may suspend or restrict activity that appears fraudulent, unlawful, abusive, unsafe, or likely to harm the Services or another person.
9. Customer Compliance Responsibilities
Customers are responsible for their own use of the Services and the use of their authorized users.
Customers must comply with all laws and industry requirements applicable to their communications, including where applicable:
-
consent requirements;
-
do-not-call requirements;
-
caller-identification requirements;
-
SMS and MMS registration requirements;
-
campaign and messaging rules;
-
call-recording and interception laws;
-
privacy and data-protection laws;
-
employment and workplace-monitoring laws;
-
number-porting requirements; and
-
emergency-service registration requirements.
Mango9 may request documentation reasonably necessary to verify compliance.
10. Third-Party Services
The Services may rely on or interoperate with third-party services, including:
-
Apple and the Apple Push Notification service;
-
telecommunications carriers;
-
SMS and MMS providers;
-
Telnyx and other communications providers;
-
SIP proxies and PBX systems;
-
hosting and security providers; and
-
customer-operated CRM or communications systems.
Third-party services may be subject to separate terms and privacy policies. You must comply with applicable third-party terms when using the Services.
Mango9 is not responsible for a third party’s independent acts, outages, service changes, network restrictions, or termination of third-party services, except to the extent required by applicable law.
11. Fees and Payment
The Application may be available without a separate download charge, but access to Mango9 hosted Services may require an active business account or paid service plan.
Customers agree to pay all fees, taxes, carrier charges, regulatory fees, usage charges, and other amounts specified in their applicable order, subscription, invoice, or service agreement.
Unless a separate agreement states otherwise:
-
charges are due according to the stated billing cycle;
-
usage charges may be billed after usage occurs;
-
overdue amounts may result in service restrictions or suspension;
-
fees are non-refundable except where required by law; and
-
termination does not eliminate charges already incurred.
The Apple App Store is not responsible for charges associated with Mango9’s hosted telecommunications or business services.
12. Intellectual Property and Open-Source Software
12.1 Mango9 proprietary rights
Except for Open-Source Software described in Section 12.3, Mango9 and its licensors retain all rights, title, and interest in and to Mango9’s proprietary Services and materials, including:
-
hosted server software;
-
proprietary APIs and integrations;
-
service configuration;
-
databases and database structure;
-
documentation;
-
business processes;
-
logos, branding, and trademarks; and
-
proprietary designs and content.
These Terms do not transfer ownership of Mango9’s proprietary Services or trademarks.
12.2 Limited service-access license
Subject to these Terms, Mango9 grants you a limited, revocable, non-exclusive, non-transferable right to access and use Mango9’s proprietary hosted Services for authorized business purposes.
This limited service-access license does not restrict or replace any rights granted under an applicable open-source license.
Except as permitted by a separate written agreement, this license does not authorize you to:
-
resell Mango9’s proprietary hosted Services;
-
provide unauthorized third-party access;
-
copy Mango9 proprietary server software;
-
use Mango9 branding in a misleading manner; or
-
create a competing hosted service using Mango9’s confidential or proprietary materials.
12.3 Open-source software
Notwithstanding Sections 8, 12.1, 12.2, or any other provision of these Terms, software components identified as Open-Source Software are licensed under their respective open-source licenses.
Those open-source licenses, rather than these Terms, govern your rights to run, study, copy, modify, and redistribute the applicable Open-Source Software.
The Mango9 iOS application is based on modified Linphone software originally published by Belledonne Communications.
The Linphone application is distributed under the GNU General Public License, version 3. Mango9’s covered application modifications are made available under the GNU General Public License, version 3, or later where applicable.
The Application also includes the Liblinphone SDK and related components distributed under the GNU Affero General Public License, version 3, or other licenses identified in the accompanying notices.
Where these Terms conflict with an applicable open-source license, the applicable open-source license controls solely with respect to the covered Open-Source Software.
Nothing in these Terms limits a recipient’s right to copy, modify, or redistribute Open-Source Software when those actions are permitted by the applicable open-source license.

Mango9 is not affiliated with, sponsored by, or endorsed by Belledonne Communications.
12.4 Trademarks and hosted services
Open-source licenses applicable to software code do not grant permission to:
-
use Mango9 names, logos, or trademarks in a way that suggests sponsorship or endorsement;
-
represent that a modified version is an official Mango9 product;
-
access Mango9 customer Accounts or Customer Data;
-
obtain free access to Mango9 hosted Services; or
-
use third-party trademarks except as permitted by their owners or applicable law.
Mango9 branding, Customer Accounts, hosted services, Customer Data, telephone numbers, credentials, and proprietary server components remain governed by these Terms and applicable law.
13. Privacy
Mango9’s collection, use, disclosure, security, retention, and deletion of personal information is described in the Mango9 Privacy Policy:

By using the Services, you acknowledge that communications and business information may be processed as described in that policy.
Customers are responsible for providing any additional notices and obtaining any consent required for their collection and use of Customer Data.
14. Suggestions and Feedback
If you voluntarily provide suggestions or feedback concerning Mango9’s proprietary Services, you grant Mango9 a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation.
This Section does not transfer ownership of Customer Content and does not change the license applicable to Open-Source Software contributions.
Contributions to an open-source repository remain subject to the contribution terms and open-source license applicable to that repository.
15. Service Availability and Changes
Mango9 may maintain, update, modify, or discontinue portions of the hosted Services.
We may perform scheduled or emergency maintenance and may change third-party providers, infrastructure, APIs, or technical requirements.
Where reasonably practical, Mango9 will provide notice of material changes that substantially reduce paid Services.
Immediate changes may be made when necessary for:
-
security;
-
legal compliance;
-
fraud prevention;
-
carrier requirements; or
-
continued service operation.
Mango9 does not guarantee that every feature will be available on every device, Account, operating-system version, carrier, PBX, or network.
16. Suspension and Termination
16.1 Termination by the Customer
A Customer may terminate its Services according to the applicable service agreement, subscription terms, or written notice requirements.
Individual users whose Accounts are controlled by an organization must contact that organization’s administrator regarding access or termination.
16.2 Suspension or termination by Mango9
Mango9 may suspend, restrict, or terminate access if:
-
you materially violate these Terms;
-
required fees remain unpaid;
-
your activity presents a security, fraud, or legal risk;
-
suspension is required by a carrier, provider, court, or governmental authority;
-
your use threatens the Services or another person;
-
an underlying third-party service becomes unavailable; or
-
the applicable Customer requests removal of your access.
When reasonably possible, Mango9 will provide notice and an opportunity to cure a remediable breach.
16.3 Effect of termination
Upon termination:
-
your right to use the proprietary hosted Services ends;
-
unpaid charges remain due;
-
locally stored sessions may be invalidated;
-
Customer Data may be retained or deleted according to the Privacy Policy, Customer instructions, applicable agreement, and law; and
-
provisions intended by their nature to survive will remain effective.
Termination of hosted Services does not revoke rights already granted to recipients under an applicable open-source license.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MANGO9 DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MANGO9 DOES NOT WARRANT THAT:
-
THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
-
EVERY CALL, MESSAGE, NOTIFICATION, OR ATTACHMENT WILL BE DELIVERED;
-
THE SERVICES WILL OPERATE WITH EVERY DEVICE, NETWORK, CARRIER, OR THIRD-PARTY SYSTEM;
-
CRM OR COMMUNICATIONS DATA PROVIDED BY A CUSTOMER WILL BE ACCURATE; OR
-
THE SERVICES WILL MEET EVERY CUSTOMER REQUIREMENT.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
Open-Source Software is provided subject to the warranty disclaimers contained in its applicable license.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANGO9 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANGO9’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
-
THE AMOUNT PAID TO MANGO9 FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
-
ONE HUNDRED U.S. DOLLARS IF NO AMOUNT WAS PAID FOR THE AFFECTED SERVICES.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
The limitations in this Section apply to Mango9’s hosted Services and do not alter the disclaimers or liability provisions contained in an applicable open-source license.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Mango9 and its officers, directors, employees, affiliates, and contractors from third-party claims, damages, penalties, losses, and reasonable expenses arising from:
-
your unlawful or unauthorized use of the Services;
-
Customer Content submitted or transmitted by you;
-
your violation of these Terms;
-
your violation of another person’s rights;
-
your failure to obtain legally required communications or recording consent; or
-
your violation of telecommunications, privacy, messaging, or consumer-protection laws.
This obligation does not apply to the extent a claim results from Mango9’s own violation of law, gross negligence, or willful misconduct.
20. Export and Sanctions Compliance
You may not use, export, re-export, or transfer the Services in violation of United States export-control, sanctions, or trade laws.
You represent that you are not located in a country subject to a comprehensive United States government embargo and are not identified on a United States government restricted-party list.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
Before filing a formal claim, the parties agree to attempt to resolve the dispute informally by providing written notice describing the dispute and requested resolution.
The parties will have 30 days after receipt of that notice to attempt an informal resolution.
If the dispute is not resolved informally, it will be resolved through binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute, except where arbitration is prohibited by law.
The arbitration will take place in Clark County, Nevada, remotely, or at another mutually agreed location.
Either party may bring an eligible claim in small-claims court. Either party may also seek temporary or injunctive relief from a court to prevent unauthorized access, security violations, or misuse of intellectual property.
To the extent permitted by law, disputes must be brought individually and not as a plaintiff or class member in a class, consolidated, or representative proceeding.
Nothing in this Section prevents a user from exercising a non-waivable right under applicable consumer-protection law.
22. Changes to These Terms
Mango9 may update these Terms to reflect changes in:
-
the Services;
-
providers;
-
security requirements;
-
business practices; or
-
applicable law.
We will post the updated Terms and revise the “Last updated” date.
When required by law, we will provide additional notice before a material change takes effect.
Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by law.
Changes to these Terms do not retroactively alter the open-source license applicable to software already received.
23. Miscellaneous
These Terms, the Privacy Policy, and any applicable written service agreement constitute the agreement between you and Mango9 concerning the hosted Services.
If a separate written service agreement conflicts with these Terms, the separate written agreement controls for the subject matter it covers.
If a provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
A failure to enforce a provision is not a waiver.
You may not assign your rights under these Terms without Mango9’s written consent. Mango9 may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets.
These Terms do not create a partnership, joint venture, employment relationship, or agency relationship.
Nothing in these Terms limits rights granted under an applicable open-source license.
