The terms governing your access to and use of the Mango9 AI Builder.

Mango9 AI Builder Terms of Service

Effective Date: August 20, 2026

These Terms of Service (the “Terms”) are a legal agreement between you and Mango9, Inc. (“Mango9,” “we,” “our,” or “us”). These Terms govern your access to and use of the Mango9 AI Builder, including its websites, account portal, applications, artificial intelligence tools, software-building platform, project deployment and cloud-hosting features, APIs, documentation, and Builder support services (collectively, the “Services”).

These Terms apply only to the Mango9 AI Builder. They do not govern the Mango9 Business OS, telecommunications, phone, SMS, CRM, advertising, lead-generation, managed-agent, or other separately offered Mango9 products or services. Those offerings are governed by their own applicable terms. If you connect a Builder project to a separately purchased Mango9 service, these Terms govern your use of the Builder, while the separate terms govern the connected service.

By creating an account or accessing or using the Services, you acknowledge that you have read and understood these Terms, agree to be bound by them, agree to our Privacy Policy, and agree to comply with all applicable laws and regulations. If you do not agree to these Terms, do not access or use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

1. Definitions

“Authorized User” means an individual whom you authorize to access or use the Services through your account.

“Content” means code, applications, websites, projects, prompts, data, files, text, images, communications, configurations, and other material created, submitted, uploaded, stored, generated, transmitted, or accessed through the Services.

“Input” means prompts, commands, instructions, data, code, and other material you submit to the Services.

“Output” means code, responses, designs, applications, recommendations, and other material generated by the Services in response to Input.

“User Content” means Input and other Content that you or your Authorized Users submit to, upload to, or create through the Services, excluding the Services themselves and Mango9 Content.

“Mango9 Content” means the Services and all software, systems, interfaces, designs, documentation, templates, models, tools, and other material owned or licensed by Mango9, excluding User Content and Output to the extent addressed in Section 7.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. The Services are not directed to children under 13, and children under 13 may not use them. If you authorize a minor who is at least 13 to use the Services, you represent that you are the minor’s parent or legal guardian and accept responsibility for the minor’s use of the Services.

2.2 Account Information

You must provide accurate, current, and complete information when creating and maintaining your account. You may not impersonate another person or entity or create an account using information you are not authorized to use.

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials and authentication methods;
  • All activity conducted through your account, including activity by Authorized Users;
  • Maintaining appropriate permissions for Authorized Users; and
  • Promptly notifying Mango9 at info@mango9.com if you suspect unauthorized access, credential compromise, or another security incident involving your account.

You may not share account credentials except as expressly permitted by the applicable plan or account features.

2.4 Account Deletion

You may request deletion of your account by contacting info@mango9.com. When an account is deleted, access to the Services will end and User Content stored on our systems will generally be deleted or de-identified within 90 days. Backup copies may remain for a limited period, and we may retain information when reasonably necessary to comply with law, resolve disputes, prevent fraud or abuse, enforce agreements, or pursue other legitimate business purposes described in our Privacy Policy.

You are responsible for exporting and backing up User Content before requesting deletion.

3. Access to and Use of the Services

3.1 Limited License

Subject to your compliance with these Terms and payment of all applicable fees, Mango9 grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purposes during the applicable subscription or service period.

Free or trial Services may be limited to personal evaluation or other uses identified at signup. Paid Services may be used for lawful commercial purposes, subject to your plan, any order form, and these Terms.

3.2 Service Features

Depending on your plan, the Services may allow you to:

  • Create or modify software, websites, applications, workflows, and other digital products using natural-language instructions and AI-assisted tools;
  • Host and publish projects using Mango9’s cloud infrastructure;
  • Use databases, authentication, storage, integrations, analytics, or automation features;
  • Connect projects with supported third-party services; and
  • Access technical support, documentation, APIs, or other development tools.

Features, usage allowances, and availability vary by plan and may change over time.

3.3 Restrictions

Except as expressly permitted by these Terms or applicable law, you may not, and may not allow anyone else to:

  • Sell, rent, lease, sublicense, redistribute, or commercially exploit the Services themselves;
  • Copy, modify, reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying components of the Services;
  • Remove or alter proprietary notices, attribution, or security features;
  • Use the Services in a manner that could damage, disable, overburden, impair, or interfere with the Services or another user’s access;
  • Circumvent usage limits, access controls, safety systems, rate limits, or monitoring mechanisms;
  • Use automated means to scrape, harvest, or extract data from the Services except through an API or feature expressly provided by Mango9; or
  • Access or use the Services for an unlawful, fraudulent, deceptive, or unauthorized purpose.

3.4 Reservation of Rights

Mango9 and its licensors reserve all rights not expressly granted under these Terms. No ownership interest in the Services or Mango9 Content is transferred to you.

4. User Content

4.1 Your Ownership

As between you and Mango9, you retain your ownership rights in User Content. You are solely responsible for User Content and for ensuring that you have all rights, permissions, licenses, and consents required to submit, process, publish, and otherwise use it through the Services.

4.2 License to Mango9

You grant Mango9 and its service providers a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, display, modify, and otherwise use User Content only as reasonably necessary to:

  • Provide, operate, maintain, secure, and improve the Services;
  • Generate and deliver Output at your direction;
  • Host, publish, or transmit your projects and communications;
  • Diagnose and address technical or security issues;
  • Enforce these Terms and prevent fraud, abuse, or misuse;
  • Comply with legal obligations; and
  • Carry out other activities you authorize.

This license does not give Mango9 the right to sell User Content as a standalone product or distribute it outside the Services except as necessary for the purposes above.

4.3 Backups

You are responsible for maintaining independent backups of User Content, code, data, and published projects. Although Mango9 uses reasonable measures designed to protect data, the Services are not a substitute for your own backup and disaster-recovery practices, and we do not guarantee that User Content will never be lost, corrupted, or unavailable.

4.4 Review and Removal

Mango9 may review, restrict, remove, or disable access to User Content when we reasonably believe it violates these Terms, infringes third-party rights, creates a security or legal risk, or may harm Mango9, our users, or others. We have no obligation to monitor all User Content.

5. Plans, Credits, Billing, and Cancellation

5.1 Plans and Usage Limits

Mango9 may offer free, trial, subscription, usage-based, credit-based, and enterprise Builder plans. Each plan may include different features and limits, such as build credits, projects, computing resources, storage, hosting, traffic, integrations, database connections, API requests, and support.

Current plan details and pricing are available at mango9.com or in your account. We may change plans, included features, usage limits, and pricing prospectively. Price changes to a recurring subscription will take effect no earlier than the next renewal period after any notice required by law.

5.2 Credits

Credits are a limited, non-transferable contractual right to use eligible Services. Credits are not money, stored value, legal tender, or property; have no cash value; may not be resold or transferred; and are not redeemable for cash except where required by law. Promotional, free, plan-included, and purchased credits may have different expiration dates or conditions, which will be disclosed at the time they are issued or purchased. Credits obtained through fraud or abuse may be revoked.

5.3 Recurring Billing

If you purchase a recurring subscription:

  • You authorize Mango9 and its payment processor to charge your selected payment method for subscription fees, usage charges, add-ons, taxes, and other amounts you authorize;
  • Your subscription will automatically renew for successive monthly or annual periods, as applicable, until canceled;
  • You must cancel before the renewal date to avoid the next recurring charge; and
  • You are responsible for keeping your billing and payment information current.

If payment fails or your account becomes past due, we may retry the charge, restrict paid features, suspend hosting or other Services, or terminate the account. You remain responsible for amounts incurred before suspension or termination.

5.4 Taxes and Third-Party Charges

Fees do not include taxes, duties, payment-processing costs, or third-party service charges unless expressly stated. You are responsible for applicable amounts, excluding taxes based on Mango9’s net income. Third-party integrations may require separate accounts and charges payable directly to the third party.

5.5 Refunds

Payments are non-refundable and credits are non-returnable except where required by law, expressly stated at purchase, or approved by Mango9 in its discretion. We may consider refund requests involving verified billing errors, duplicate charges, or other exceptional circumstances. Any approved refund will be returned to the original payment method when practicable; processing times depend on the payment provider, and we generally aim to initiate an approved refund within 14 days.

5.6 Cancellation

You may cancel a recurring subscription through the billing controls in your Mango9 account or by contacting info@mango9.com. Unless otherwise stated:

  • Cancellation takes effect at the end of the current paid billing period;
  • You will retain the plan’s paid access through that period;
  • The subscription will not renew after cancellation;
  • Fees for the current period will not be prorated; and
  • Unused plan benefits or credits will expire as stated in the applicable plan or credit terms.

Canceling a subscription does not automatically delete your account or User Content.

6. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services, or assist another person to use them, to:

6.1 Illegal, Harmful, or Abusive Conduct

  • Violate any applicable law, regulation, court order, or legally binding rule;
  • Facilitate fraud, theft, deception, identity theft, harassment, threats, abuse, stalking, exploitation, or other harmful conduct;
  • Create, upload, host, transmit, or distribute unlawful, defamatory, obscene, or tortious material;
  • Promote or facilitate illegal goods, services, or activities;
  • Impersonate another person or entity or misrepresent an affiliation, endorsement, or source;
  • Infringe or misappropriate intellectual property, privacy, publicity, confidentiality, or other rights; or
  • Send spam, unsolicited bulk communications, or communications that violate consent, opt-out, telemarketing, messaging, or email laws and industry rules.

6.2 Security and Platform Abuse

  • Introduce malware, viruses, ransomware, malicious code, or other harmful components;
  • Probe, scan, penetrate, or test the vulnerability of systems or networks without authorization;
  • Gain or attempt to gain unauthorized access to accounts, credentials, systems, data, or networks;
  • Interfere with the integrity, operation, or security of the Services or connected systems;
  • Circumvent access restrictions, rate limits, usage limits, content filters, or protective measures;
  • Misuse computing, storage, hosting, or API resources;
  • Use bots, scraping tools, or automated extraction methods except as expressly authorized; or
  • Harvest contact information for unsolicited communications.

6.3 Deceptive Interfaces and Sensitive Data

  • Create or distribute login pages, authentication forms, or credential-collection interfaces that impersonate a third-party service or are intended to harvest credentials, tokens, or authentication data;
  • Clone or substantially imitate a third party’s branding, layouts, domains, or identity in a manner likely to deceive users;
  • Create or operate payment forms, investment platforms, cryptocurrency wallet interfaces, or similar financial tools that collect financial information or credentials under false, misleading, or deceptive pretenses; or
  • Collect Social Security numbers, passport numbers, driver’s license numbers, government identification, health information, financial account data, or other sensitive personal data without a lawful purpose, appropriate notice and consent, and legally required safeguards.

6.4 Sanctions and Export Restrictions

You may not use the Services in, for, or on behalf of a country, territory, entity, or individual subject to applicable trade sanctions, embargoes, or export restrictions, or to evade or circumvent such restrictions.

6.5 Enforcement

We may investigate suspected violations and may throttle, restrict, suspend, or terminate access; remove or disable Content; preserve relevant information; and cooperate with lawful requests from authorities. We may establish and enforce technical quotas or limits to protect the Services and other users.

7. AI Features and Output

7.1 Nature of AI Output

The Services use artificial intelligence and other automated systems to generate code, designs, text, recommendations, and other Output. AI systems are probabilistic and may produce inaccurate, incomplete, insecure, biased, outdated, or unsuitable Output. Output may not be unique, and other users may receive the same or similar Output.

7.2 Your Responsibility

You are responsible for reviewing, testing, securing, licensing, and validating Output before using or deploying it. In particular, you should independently evaluate Output for:

  • Bugs, errors, vulnerabilities, and malicious or unsafe behavior;
  • Accuracy, completeness, fitness for purpose, and compliance with your requirements;
  • Accessibility, privacy, security, and regulatory compliance;
  • Third-party intellectual property or open-source license obligations;
  • Bias or discriminatory effects; and
  • Compatibility with your systems, dependencies, and third-party services.

Do not rely on Output as professional legal, medical, financial, accounting, security, or other regulated advice. Human review and appropriate professional advice remain your responsibility.

7.3 Use of Output

Subject to these Terms and applicable law, you may use, modify, distribute, sell, and open-source Output. Mango9 does not claim ownership of applications you create through the Services. Your rights in Output may be affected by applicable law, the rights of third parties, and licenses governing components or services used in generating the Output.

7.4 No Guarantee of Intellectual Property Protection

Because AI-generated material may not qualify for intellectual property protection and may resemble other material, Mango9 does not represent or warrant that Output is protectable, unique, non-infringing, or free of third-party rights.

8. Intellectual Property

8.1 Mango9 Property

Mango9 and its licensors own all right, title, and interest in the Services and Mango9 Content, including:

  • The Mango9 name, logos, domains, trademarks, branding, designs, and visual elements;
  • Platform architecture, applications, source code, features, interfaces, workflows, and documentation;
  • Proprietary systems, algorithms, tools, models, and technology; and
  • Improvements, updates, and derivative works of the foregoing.

These materials are protected by intellectual property and unfair-competition laws. Except as expressly permitted in these Terms, you may not use Mango9 trademarks or branding without our prior written consent.

8.2 Your Applications and Code

Mango9’s ownership of the Services does not extend to your pre-existing code, User Content, or—subject to Section 7—applications and Output you create through the Services. You retain rights in your own code commits, custom configurations, and modifications, subject to applicable third-party and open-source licenses.

9. Data, Privacy, and Security

9.1 Privacy Policy

Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy, available at mango9.com/privacy-policy. If you process personal information about others through the Services, you must provide all legally required notices, obtain all required consents, honor data-subject rights, and comply with applicable privacy and data-protection laws.

9.2 Security

Mango9 uses reasonable administrative, technical, and organizational safeguards designed to protect User Content and account information. These may include encryption, access controls, authentication, monitoring, secure development practices, and security assessments. However, no system or transmission method is completely secure, and we cannot guarantee absolute security.

You are responsible for configuring your applications securely, managing Authorized Users and credentials, protecting secrets and API keys, applying appropriate access controls, and responding to security issues in your own applications and User Content.

9.3 Service Improvement and Training

We may collect and analyze aggregated or de-identified usage information, performance metrics, error patterns, feature interactions, and operational data to operate, secure, support, and improve the Services.

Mango9 does not use your proprietary code or User Content to train general-purpose AI models without your consent. We may use feedback, data you intentionally make public, and aggregated or de-identified information that cannot reasonably identify you or your organization, subject to applicable law and our Privacy Policy.

9.4 Enterprise Customers

Enterprise customers may receive additional data controls under an order form, data-processing agreement, or other written agreement, including restrictions on training, custom retention terms, data-residency options where available, enhanced security measures, or additional support. If a written enterprise agreement conflicts with these Terms, the written enterprise agreement controls for that customer to the extent of the conflict.

10. Third-Party Services and Components

The Services may interoperate with or depend on third-party services, APIs, models, software, libraries, payment processors, communications providers, databases, authentication providers, and hosting or storage systems. Your use of third-party services may be subject to separate terms, privacy policies, fees, licenses, and usage limits.

Mango9 does not control and is not responsible for third-party services, including their availability, security, content, policies, pricing, changes, or discontinuation. You are responsible for obtaining and maintaining any third-party accounts, permissions, and licenses required for your projects.

Open-source components included in the Services or Output are governed by their applicable licenses. To the extent an open-source license conflicts with these Terms concerning a particular component, the open-source license controls for that component.

11. Availability, Changes, and Support

11.1 Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or continuous availability. Maintenance, upgrades, security events, capacity constraints, Internet or utility failures, third-party service failures, and other events may cause interruptions, delays, or loss of functionality.

11.2 Changes to the Services

We may add, change, suspend, or discontinue features or Services. When reasonably practicable, we will provide notice of material changes that significantly reduce a paid Service. We are not obligated to maintain any particular feature, integration, AI model, or third-party dependency.

11.3 Support

Support availability, channels, target response times, and service levels depend on your plan. Unless a separate written service-level agreement states otherwise, support response times and resolution estimates are targets only and are not guarantees. Support generally covers the Mango9 platform and does not include custom software development, business consulting, or debugging beyond the scope of the applicable plan.

12. Suspension and Termination

12.1 Term

These Terms begin when you first accept them or access or use the Services and continue until terminated.

12.2 Termination by You

You may stop using the Services at any time. You may terminate paid Services by canceling your subscription and may request account deletion as described in Section 2.4. Canceling or deleting your account does not relieve you of payment obligations incurred before termination.

12.3 Suspension or Termination by Mango9

We may restrict, suspend, or terminate your access to some or all of the Services if:

  • You violate these Terms or another agreement with Mango9;
  • Payment is overdue or your payment method fails;
  • Your use creates a security, legal, operational, or reputational risk;
  • Your use could harm Mango9, the Services, another user, or a third party;
  • We are required to do so by law or a binding legal request; or
  • We discontinue the relevant Services.

When appropriate and legally permitted, we will make reasonable efforts to notify you and provide an opportunity to cure the issue. We may suspend access immediately when necessary to prevent harm, address fraud or abuse, protect security, or comply with law.

12.4 Effect of Termination

When these Terms or your account terminate:

  • Your right to access and use the affected Services ends;
  • You must stop using the affected Services;
  • Hosted applications, domains, integrations, and other Builder functionality may stop working;
  • You may lose access to User Content stored through the Services;
  • Outstanding amounts become immediately due; and
  • Mango9 may delete or de-identify User Content in accordance with Section 2.4 and the Privacy Policy.

You are responsible for exporting User Content before termination. Unless required by law or expressly stated otherwise, termination does not entitle you to a refund.

12.5 Survival

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, licenses accrued before termination, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, MANGO9 CONTENT, AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOUR USE OF THEM IS AT YOUR OWN RISK. MANGO9 AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, MANGO9 DOES NOT WARRANT THAT:

  • THE SERVICES OR OUTPUT WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT;
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
  • OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, UNIQUE, SECURE, OR NON-INFRINGING;
  • DEFECTS OR ERRORS WILL BE CORRECTED;
  • USER CONTENT WILL NEVER BE LOST, CORRUPTED, DISCLOSED, OR UNAVAILABLE; OR
  • GENERATED CODE WILL BE SUITABLE FOR PRODUCTION OR COMPATIBLE WITH ANY SYSTEM OR THIRD-PARTY SERVICE.

MANGO9 SPECIFICALLY DISCLAIMS RESPONSIBILITY FOR BUGS, SECURITY VULNERABILITIES, DATA LOSS OR CORRUPTION, INCOMPATIBILITIES, OBSOLETE DEPENDENCIES, LICENSING ISSUES, BIASED OUTPUT, FAILED INTEGRATIONS, OR BUSINESS OR TECHNICAL RESULTS ARISING FROM OUTPUT OR YOUR APPLICATIONS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANGO9 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, CONTENT, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

THIS EXCLUSION INCLUDES DAMAGES ARISING FROM:

  • USE OF OR INABILITY TO USE THE SERVICES;
  • RELIANCE ON OUTPUT OR DEPLOYMENT OF GENERATED CODE;
  • BUGS, VULNERABILITIES, ERRORS, OR INCOMPATIBILITIES IN OUTPUT;
  • LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO CONTENT OR DATA;
  • SERVICE CHANGES, INTERRUPTIONS, SUSPENSIONS, OR TERMINATION;
  • THIRD-PARTY SERVICES, COMPONENTS, APIS, OR CONDUCT;
  • PROJECT DELAYS, MISSED DEADLINES, DEVELOPMENT COSTS, OR TECHNICAL DEBT; OR
  • CUSTOMER, USER, OR BUSINESS IMPACT ASSOCIATED WITH AN APPLICATION YOU CREATE OR OPERATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANGO9’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO MANGO9 FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) US$100.

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OR THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Mango9 and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, demands, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your use or misuse of the Services;
  • User Content, Input, Output you publish or deploy, or an application, website, product, or service you create or operate;
  • Your violation of these Terms or applicable law;
  • Your infringement, misappropriation, or violation of another person’s rights; or
  • Conduct by your Authorized Users.

Mango9 will provide reasonable notice of an indemnified claim and may control its defense and settlement. You may not settle a claim in a manner that admits fault by or imposes obligations on Mango9 without Mango9’s prior written consent.

16. Export Controls and Sanctions

You must comply with applicable export-control, import, trade-sanctions, and anti-boycott laws. You represent that you are not located in, ordinarily resident in, organized under the laws of, or controlled by a country or territory subject to comprehensive applicable sanctions; are not identified on a government restricted-party list; and will not use the Services for a prohibited end use or in violation of applicable trade restrictions.

17. Copyright and DMCA Notices

Mango9 respects intellectual property rights.

If you believe material available through the Services infringes your copyright, send a notice to info@mango9.com. The notice must identify the copyrighted work and the allegedly infringing material; provide your name, address, telephone number, and email address; state that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law; state under penalty of perjury that the notice is accurate and that you are authorized to act for the copyright owner; and include your physical or electronic signature.

We may remove or disable access to material in response to a valid notice and may terminate repeat infringers where appropriate. A person who knowingly misrepresents that material is infringing may be liable for damages under applicable law.

18. Feedback and Promotions

If you submit ideas, suggestions, or other feedback about the Services, you grant Mango9 a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit that feedback for any purpose without restriction, attribution, or compensation. You represent that you have the right to provide the feedback.

Promotions, contests, sweepstakes, referral programs, and similar offers may be governed by additional terms. If those additional terms conflict with these Terms, the additional terms control for that offer.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. The Federal Arbitration Act governs the interpretation and enforcement of Section 19.3.

19.2 Informal Resolution

Before starting arbitration, the complaining party must send the other party a written notice describing the dispute and requested relief. Notices to Mango9 must be sent to info@mango9.com and to the address in Section 23. The parties will attempt in good faith to resolve the dispute for at least 30 days after the notice is received.

19.3 Binding Arbitration

Except for a matter eligible for small-claims court or a request for temporary or preliminary injunctive relief to protect intellectual property, confidential information, or system security, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will take place in Clark County, Nevada, unless the parties agree otherwise or applicable law requires another location. Judgment on the award may be entered in any court with jurisdiction.

19.4 Class-Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. AN ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM.

19.5 Court Proceedings

For disputes not subject to arbitration, you and Mango9 consent to exclusive jurisdiction and venue in the state and federal courts located in Clark County, Nevada. To the extent permitted by law, each party waives any right to a jury trial.

20. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on our website and update the Effective Date. For material changes, we will provide notice through the Services, by email, or by another reasonable method as required by law. Revised Terms take effect on the date stated in the notice or, if no date is stated, when posted. Your continued use of the Services after the revised Terms take effect constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Services and cancel any subscription.

21. Miscellaneous

21.1 Entire Agreement and Order of Precedence

These Terms, our Privacy Policy, any applicable order form, and any additional terms expressly incorporated by reference form the entire agreement between you and Mango9 concerning the Services and supersede prior or contemporaneous understandings on that subject. If an order form or separately signed agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict.

21.2 Severability

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect. If any part of the class-action waiver in Section 19.4 is found unenforceable as to a particular claim or request for relief, that claim or request will be decided by a court after all arbitrable claims are resolved.

21.3 Waiver

A waiver must be in writing and signed by the waiving party. Failure to enforce a provision is not a waiver of the right to do so later.

21.4 Assignment

You may not assign or transfer these Terms or your rights or obligations under them without Mango9’s prior written consent. Mango9 may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

21.5 No Third-Party Beneficiaries

These Terms do not create third-party beneficiary rights except as expressly stated.

21.6 Relationship of the Parties

You and Mango9 are independent contractors. These Terms do not create an agency, partnership, joint venture, fiduciary, employment, or franchise relationship.

21.7 Force Majeure

Mango9 will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, government action, utility or Internet failures, cyberattacks, failures of third-party providers, or similar events.

21.8 Electronic Communications

You consent to receive agreements, notices, disclosures, and other communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing. Transactional and legal notices are not promotional messages and may be sent even if you opt out of marketing.

21.9 Section Headings

Headings are for convenience only and do not affect interpretation. Words such as “including” mean “including without limitation.”

22. Abuse and Security Reports

To report suspected abuse, a violation of these Terms, or a security concern involving the Services, contact info@mango9.com. Include a description of the issue, relevant dates and times, affected URLs or account information, and supporting evidence when available. Do not include passwords, private keys, or unnecessary sensitive personal information in your report.
